The terms that govern your use of the Medineps platform — for patients, healthcare professionals, and facility administrators.
These Terms of Service (“Terms”) govern your access to and use of the Medineps website, mobile applications, and platform (collectively, the “Service”), operated by Medineps Health Systems (“Medineps”, “we”, “us”, or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Where a healthcare facility subscribes to the Service, these Terms apply alongside any separate agreement (such as a subscription or service agreement) between the facility and Medineps. If there is a conflict, the separate agreement governs for that facility.
The Service provides healthcare facilities with digital tools for patient management, appointments, EMR, pharmacy, laboratory, billing, inventory, human resources, and analytics. It includes web and mobile applications for patients and facility staff, along with supporting services such as notifications and reporting.
We may add, modify, or discontinue features over time. We will provide reasonable notice of material changes that affect how you use the Service.

The Service is a tool to support — not replace — clinical judgment. Healthcare professionals remain responsible for the accuracy of the information they enter and for all decisions about patient care, diagnosis, and treatment.

Medineps is not a medical provider and does not provide medical advice through the Service.
The Service, including its software, design, logos, documentation, and content, is owned by Medineps or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business or personal purposes, subject to these Terms.
You retain all rights to the data you enter into the Service. You grant us a license to host, process, and use that data solely to operate and improve the Service on your behalf.
Fees for paid subscriptions are described in your subscription agreement or in the Service. Unless otherwise agreed, fees are payable in advance and are non-refundable except as required by law. We may change fees with reasonable notice; changes take effect at the start of the next billing period.
The Service may integrate with or link to third-party services (for example, payment gateways, SMS providers, or messaging platforms). These are governed by their own terms and privacy policies. We are not responsible for third-party services, but we will make reasonable efforts to select reliable partners and to notify you of material changes to integrations.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by law, and except where caused by our gross negligence or willful misconduct, Medineps is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service.
You agree to indemnify and hold harmless Medineps and its officers, employees, and agents from any claims, losses, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of applicable law.
You may stop using the Service at any time and may close your account by contacting us. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and limitation of liability — will survive.
Upon termination, you may export your data during a reasonable transition period. We will then delete or anonymize your data in accordance with our Privacy Policy and applicable law.
These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page with a revised “Last updated” date and, where appropriate, notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
